Ok now even i can do it , Many thanks to S_king from Maxconsole . He did an app that is making things much easyer . Check the first post for download and the real post for comments http://forums.maxconsole.net/showthread.php?t=69959 .
Also read the README.txt inside for the instructions.

Check this little guide posted by S_King ...
Quick Sound Forge tutorial
1. When saving, select Wave (Microsoft) (*.wav).
2. Then select Custom... next to Template: Default template.
3. In the Custom template window, select Format: ATRAC3 (instead of PCM uncompressed) and set Attributes: 105kbps STEREO.
4. Give a name to this template, like Atrac3 105kbps Stereo or something.
5. Save template and use select this from now, when you want to save Atrac3 WAVs.

I use GoldWave. It suits my needs.
For those that can't get their bootsound to work, remember that you want a sound that is equal to or less than the size of the original boot sound. If the uncompressed WAV file is too large, ATRAC3 is actually rather effective in compressing it without losing too much quality. If the highest quality AT3 compression doesn't make it small enough, though, you'll have to use a lower quality, which might sound like poo poo.
I don't know how well S_king's utility works, though, because I manually inserted my ATRAC3 compressed wav using Hex Workshop, and it worked. So I've had no need for it, really.
It's nice not having to use .vag format, though. MFAudio likes to crash on me at random -.-

Thanks gsmoke, strange i tried to use Sony Vegas and saved wav>>atrac3 but did not work..!?
