it used to  be the superior IM program for me.

Despite much overlap between the two programs, it seems that most people consider Skype and MSN to be quite different.  Well, from what I've seen, most people associate the former with a phone replacement, and the latter a solution for "quick emails".
Possible that there'll be some integration though.

I think they paid too much, but you have a fair point.
Possibly competition from other sources (eg rumours about Facebook potentially buying over Skype).
The again, MS did bid like $43 billion for Yahoo a while ago, which is now worth only half that.
